1. Agreement to Terms
By engaging Upspider's services, accessing our website at upspider.com, or submitting a project brief or payment, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("Client") and Upspider ("we", "our", or "us"). If you do not agree to these Terms, please do not use our services. We reserve the right to update these Terms at any time, and your continued use of our services following any changes constitutes acceptance of those changes.
2. Services Description
Upspider provides professional web design, web development, and related digital services. Our core offering is the design and delivery of professional websites within 48 hours of receiving a completed project brief. Services may include: • Custom website design and development • Responsive mobile-first layouts • SEO foundation setup (meta tags, sitemap, structured headings) • Contact form and third-party integration • Copywriting and content adaptation • Website hosting and domain configuration • Ongoing maintenance and support (as a separate engagement) The specific scope of work for each project will be confirmed in writing prior to commencement.
3. Payment Terms
3.1 Deposit: A 50% deposit of the agreed project fee is required before work commences. Payment of the deposit constitutes acceptance of these Terms and authorises Upspider to begin the project. 3.2 Final Payment: The remaining 50% of the project fee is due upon delivery of the completed website — after the client has reviewed the staging site and requested any revisions within the included revision rounds. 3.3 Accepted Payment Methods: We accept payment via major credit/debit cards, bank transfer, and other methods as agreed at the time of engagement. 3.4 Late Payment: If final payment is not received within 7 days of the delivery notification, Upspider reserves the right to withhold the live website until payment is received. 3.5 Currency: All fees are quoted and charged in the currency specified in your project agreement.
4. Revision Policy
4.1 Included Revisions: Every project includes three (3) rounds of revisions as standard. A revision round consists of the Client submitting a consolidated list of requested changes, followed by Upspider implementing those changes. 4.2 Scope of Revisions: Revisions are modifications to the agreed scope of work. Requests that substantially change the scope — such as adding new pages, significant structural changes, or requests for a fundamentally different design direction — may be treated as new work and quoted separately. 4.3 Additional Revisions: Revisions beyond the three included rounds are available at our standard hourly rate, which will be communicated prior to commencement of additional work. 4.4 Revision Process: Revisions should be submitted as a single, consolidated list per round. Piecemeal or sequential requests may be counted as separate revision rounds.
5. Client Responsibilities
To enable timely delivery, the Client agrees to: • Provide complete and accurate information in the onboarding form within 24 hours of project commencement • Supply all required assets (logos, images, brand guidelines) promptly upon request • Respond to questions and review requests within 48 hours during the active project period • Provide consolidated, clear feedback during revision rounds • Make final payment upon delivery of the completed website Delays caused by the Client's failure to fulfil these responsibilities may extend the delivery timeline. Upspider will not be held responsible for delays attributable to the Client.
6. Intellectual Property
6.1 Client Ownership: Upon receipt of full payment, the Client owns all rights to the final delivered website, including its design, code, and content — except as noted below. 6.2 Upspider Components: Certain underlying components, frameworks, and code libraries used in the construction of the website remain the property of Upspider or are licensed under open-source licences. The Client receives a perpetual licence to use these components as part of their delivered website. 6.3 Third-Party Assets: The Client is responsible for ensuring they have appropriate licences for any third-party content (images, fonts, icons) they provide. Upspider will use royalty-free or properly licensed assets where we source content on the Client's behalf. 6.4 Portfolio Rights: Upspider reserves the right to display completed websites in our portfolio and marketing materials, unless the Client requests otherwise in writing.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. Upspider will not disclose your business information, project details, or any non-public material to third parties without your consent, except as required by law or necessary to provide the services (e.g., engaging a hosting provider).
8. Limitation of Liability
To the fullest extent permitted by applicable law, Upspider's total liability to the Client for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. Upspider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, even if we have been advised of the possibility of such damages. We do not guarantee specific business outcomes, including search engine rankings, lead volumes, or revenue increases, as these depend on factors outside our control.
9. Warranty Disclaimer
Our services are provided on an "as is" basis. While we strive for the highest quality in every project, Upspider makes no warranty that the website will be error-free, uninterrupted, or completely secure. We will remedy any defects reported within 14 days of delivery at no additional charge. After this warranty period, corrections are subject to our standard maintenance rates.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Sri Lanka. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
